MDX Public Company Limited Limited has been aware of and considering compliance principles all along and has set the corporate compliance policy of MDX Public Company Limited in the Board of Directors Meeting No. 2/2022 on 25 February 2022 as follows:
- The Board of Directors and Management shall review and revise the corporate compliance structure and review the key structural composition, including shareholders, the Board of Directors, Management, and employees, regarding the roles and responsibilities and cross association in order to achieve corporate goals.
- The Board of Directors and Management shall consider and review the company’s vision, strategies, and policies, with factors of risks and risk management planning taken into consideration, for future guidelines in board meetings.
- The Board of Directors and Audit Committee shall ensure that all financial reports and disclosure of key information are sufficient and compliant with SET regulations.
- The Board of Directors and Management shall support and encourage all personnel to be aware of and comply with the principles of integrity, fairness, transparency, and their own responsibilities in line with moral, ethical, and corporate value.
- The Board of Directors and Management shall review internal control to ensure efficiency and suitability with potential changes in order to control and protect fraud risks, non compliance with regulations, or errors.
- The Board of Directors and Management shall support and encourage all personnel to be aware of business operations with responsibility toward stakeholders, with ESG taken into consideration.
Moreover, the Board of Directors has delegated to Management to adopt the compliance principle and policy mentioned above in a tangible way and required that operating results be reported in board meetings on a quarterly basis.
